Submission Agreement
Please carefully read this Submission Agreement between you and Scholastic Inc. (including its corporate affiliates, “Scholastic”) carefully.  By clicking the “Accept Submission and Agree to Terms and Conditions of Submission Agreement” box to approve your child’s submission, you signify your consent to be legally bound by the terms of this Submission Agreement as well as the Scholastic.com (“Website”) Terms of Use (together, the “Agreement”).  This Agreement governs you and/or your child’s use of the Scholastic.com Summer Reading Buzz “Show Buzz” feature (“Feature”). 
1. Submissions.
“Material” as used in this Agreement means any and all content, media and material you and/or your child submit to or for the Feature, including without limitation photographs, writings, drawings, music, audio, video, audio-visual works and recordings, animated and/or motion pictures, likenesses, voices, sound recordings, computer graphics and visual effects. “Material” also includes, without limitation, all biographical and/or descriptive information submitted by you and/or your child in connection with such submission.
To submit Material to the Feature, you and/or your child must upload the Material by transmitting a digital file through the internet to the Website.  You as the parent or legal guardian (collectively, “parent”) will receive or have received an email notifying you that your child has submitted Material to the Feature.  The notification email directs you to link through to an “Approve Buzz Submission” page on the Website that contains a brief description of the Material and provides you an opportunity to preview it.  To approve the Material, you must click the “Accept Submission and Agree to Terms and Conditions of Submission Agreement” box on the “Approve Buzz Submission” page.  The guidelines for submissions are set forth on a “Rules and Tools” page.  The instructions for uploading the Material are set forth on the web page provided for uploading content to the Feature (the “Upload Page”).  To be considered for posting on the Website, the Material must meet all the requirements and guidelines on the Upload Page and on the Rules and Tools page.  If you approve the Material, Scholastic will review it and will have the right, in its sole discretion, to select such Material for posting on the Website.  Scholastic will have no obligation to post or retain the Material, even if you approve it.  If you reject the Material, Scholastic will delete it.  If Scholastic does not receive your approval of the Material within one (1) week of the date of submission, Scholastic will delete it.  If the Material contains images of more than one child, then the parent of each child will receive a notification email.  The Material will not be posted unless each such parent approves it. 
The Upload Page may also ask for some information about you, your child and the Material. This may include without limitation such things as your email address (for purposes of notifying you of your child’s submission and asking you to accept or reject it), a descriptive title, some information about the content and/or length of the Material, your child’s first name, last initial, state of residence, age and/or similar information.  We reserve the right to retain your email address if we need to contact you in connection with the Material in the future.
Scholastic is not responsible for lost, damaged, unusable or unreadable submissions. Proof that you or your child submitted Material does not constitute proof that Scholastic received anything.  Submissions will not be returned.    
2. Content Requirements.
You are solely responsible for your communications and submissions made under your child’s name or user name and/or screen name, your name and your email address.  
You hereby represent and warrant that the Material is the original work of your child, and that you own or control the rights to the Material in its entirety and that no authorizations, permissions, licenses or approvals are necessary for you to enter into this Agreement and to grant Scholastic the rights granted hereunder. You further affirm to Scholastic that (a) you are not a minor and you have the legal right and capacity to enter into this Agreement and perform and comply with all of its terms and conditions, (b) you are the parent or legal guardian of the child who has submitted the Material and provided your email address, and (c) all of the information provided by you and/or your child associated with your use and/or your child’s use of the Feature is correct and complete.
The content requirements for the Feature prohibit inclusion in submissions of personally identifiable information about your child such as email address, full name, street address, phone number or any other information that could enable your child to be contacted online or offline.  Scholastic reserves the right to delete, edit, reject or remove, without notice to you, any Material or portion thereof that Scholastic deems, in its sole discretion, to constitute personally identifiable information or to be abusive, defamatory, obscene, pornographic, in violation of copyright, trademark or other intellectual property rights or of any law, to be otherwise in violation of this Agreement or to be unacceptable to Scholastic, for any reason or for no reason whatsoever.  Scholastic shall have no obligation or liability to you for failure to do so or for doing so in any particular manner.  
3. Copyright Infringement Claims; Customer Service.
Notification of a copyright infringement claim relating to any content contained in the Feature or elsewhere on the Website must be submitted by using our Copyright Infringement Claim Notice and Procedure. Any other feedback or questions should be directed to Customer Service. 
4. Grant of Rights.
In consideration of the opportunity for you and/or your child to submit Material to the Feature for potential posting thereon, you hereby grant to Scholastic a worldwide, irrevocable, perpetual, unrestricted, royalty-free right, license and authorization to host, cache, store, reproduce, distribute, display, exhibit, perform, publish, broadcast, transmit, prepare derivative works of, adapt, reformat, translate and otherwise exploit all or any portion of the Material, whether by itself or in combination with other material, in any form or format, in any and all media now or hereafter known and by any distribution platform now or hereafter known including without limitation as part of the Feature on the Website for any purpose whatsoever (including, without limitation, for any promotional purposes), and Scholastic shall have the right to assign, transfer, license or sub-license all or any portion of its rights to any third party or to refrain for exercising any of the rights granted hereunder, without accounting, reporting, notice, credit, or other obligation or liability to you or your child whatsoever.  Scholastic shall own any derivative works created from the Material.
The rights granted hereunder shall commence on submission of Material to or through the Feature and approval by you as the parent and shall continue thereafter in perpetuity.  Once you and/or your child submits the Material and you as the parent approve the Material via the “Approve Buzz Submission” page, neither you nor your child shall have any right to prohibit, restrict, revoke or terminate any of the rights granted to Scholastic. Neither you nor your child shall receive or be entitled to any financial compensation for the Material or in connection with any use made thereof.  You also understand and agree that neither you nor your child shall have any approval rights over the Material or any use thereof including without limitation any advertising, promotional or marketing material related thereto.
You also forever waive and relinquish all moral rights or droit moral now or hereafter recognized in connection with the Material and the rights granted to Scholastic hereunder, and you hereby represent and warrant that your child has waived and relinquished all such rights in connection with the Material.
5. Release and Indemnification.  You agree to release and hold Scholastic harmless from any and all claims of any rights, encumbrances, liens, demands, actions or suits which you or your child may or can have in connection with the Material, including without limitation those arising from defamation, libel, slander, invasion of privacy, right of publicity, emotional distress or economic loss.
Your indemnification obligations under the Terms of Use  include without limitation any third party claims arising from, related to or caused by the Material, the submission of the Material and/or in any way associated with this Agreement and/or the Feature.
6. General.
This Agreement, together with the Terms of Use, is the entire agreement between you and us relating to the Feature and the subject matter of this Agreement and supersedes any prior agreements.
