1. HOW TO ENTER: To enter the WHAT'S YOUR DIGITAL EQUATION? Contest ("Contest"), a teacher of any grade from K–9th, in the schools set forth below in the Eligibility section, shall complete the entry form (the "Entry Form" or "Entry"), via the contest landing page (www.scholastic.com/digitalequation), presenting their "digital equation" by first selecting from three online drop-down options: 1. the piece of technology they use in their classroom, 2. the grade level category, and 3. the subject area. The teacher will also type in a maximum 500 word-essay that exemplifies his/her "digital equation." The "digital equation" is a lesson plan idea, activity, or technological solution the teacher utilizes in his/her classroom. This "digital equation" should be an original idea and inspire students. Included with the online submission the entrant must include his/her contact information: his/her name, grade, school city, e-mail address, daytime phone number, school name, school state, and school zip. Click the "ENTER NOW" button found at the bottom of the Contest landing page signifying your agreement with the terms of these Official Rules and your assignment of all rights to your Entry Form to the Main Sponsor (defined below) and the Participating Product Sponsor (defined below).

Main Sponsor does not require any additional material to accompany the Entry Form. In the event an entrant includes additional material, for purposes of these Official Rules, such additional materials shall be considered part of the Entry Form and all references to "Entry Form" shall be deemed to include such additional material.

The Contest begins October 17th, 2012, 12:00 a.m. EST and ends November 26th, 2012,11:59 p.m. EST. Eligible teachers (defined below) can submit one (1) entry per person. No team entries. Entry must be the teachers' own original work, and cannot contain previously published and/or copyrighted material in any part by any third party. Additionally, each entry may not be offensive or inappropriate, as determined by Scholastic Inc. ("Scholastic" or "Main Sponsor") in their sole discretion, and Scholastic reserves the right to disqualify an entry it deems to be offensive or inappropriate. Furthermore, an entry may not defame or violate publicity rights or the privacy rights of any person, living or deceased, or otherwise infringe upon any person's personal or property rights or any other third party rights.

By entering you represent and warrant that:

Entrants assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Entries. Main Sponsor and Participating Product Sponsor make no warranty, representation or guarantee, express or implied, in connection with their ability to in any way enable, develop or market the idea set forth in the Entry Form. By entering the Contest, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Main Sponsor and the judges, which are final and binding on all matters relating to this Contest.

2. ELIGIBILITY. The Contest is open only to U.S. teachers who are legal residents of the 50 United States (and the District of Columbia) or Puerto Rico, 18 years of age or older, and who are currently in a full-time teaching position in a registered public K-9 school/district, an accredited private school or a home school in compliance with the laws of the state where the home school is located. Void where prohibited or restricted by law. Full-time or part-time employees of Main Sponsor, Canon U.S.A., Inc. ("Participating Product Sponsor"), their respective parents, affiliates, subsidiaries, advertising, promotion and production agencies, and their immediate families and those living in their households are not eligible to enter. Any person who attempts to defraud or in any way tamper with this Contest will be ineligible for prizes. An entrant must be the authorized owner of the e-mail account submitted with the entry.

3. WINNERS. One (1) Grand Prize winning teacher from each grade-level category (K–3, 4–6, 7–9) (the "Grand Prize Winning Teachers") will be selected by Scholastic, for a total of three Grand Prize Winning Teachers. Two (2) runner-up prize-winning teachers from each grade-level category (K–3, 4–6, 7–9) (the "Runner-Up Winning Teachers," collectively with the Grand Prize Winning Teachers, the "Winners") will be selected by Scholastic, for a total of six Runner-Up Winning Teachers. The winning Entries will be chosen based on the following equally-weighted judging criteria: (a) creativity; (b) overall presentation of submission and (c) ability to engage students through technology. In the event of a tie, the Entry that scores the highest on creativity will determine the winner. Winners will be chosen from among all eligible Entries on or about December 3,,2012 and notified by phone or e-mail on or about December 4th, 2012. The decisions of the judges are final and binding.

Prizes are non-transferable, non-assignable and no cash alternative will be offered except by Scholastic and Participating Product Sponsor. In the event of unavailability, a prize of equal or greater value will be awarded. If any prize or prize notification is returned as undeliverable, the potential winner chooses to decline a prize for any reason, or the potential winner fails to comply with these Official Rules and all the requirements set forth herein, the prize may be forfeited. Taxes on prizes, if any, are the sole responsibility of the Winners.

4. GENERAL. All Entries become the property of Scholastic and Participating Product Sponsor and will not be returned. By submitting an Entry, each entrant agrees that (a) Scholastic and its designees, including Participating Product Sponsor (collectively, the "Designees") own the Entry submitted (including all rights embodied therein in winning Entries) and will not be returned; (b) Scholastic and the Designees have the unlimited right to exploit, alter, edit, publish, use, adapt, modify, or dispose of the Entry Form or any part or element embodied therein; and (c) Scholastic and the Designees have the right to use any and all Entry Forms, and your name, photographic and non-photographic likeness, and biographical material online, in print, film, television, or in any other media now or hereafter known for future advertising, promotion, publicity, or other purposes throughout the world, in perpetuity, without additional compensation or notification to, or permission of the entrant, except as prohibited by law. Further, by entering, entrant agrees to (i) abide by these Official Rules, (ii) warrant and represent that his/her Entry is an original work solely of the entrant and the Entry does not contain previously published and/or copyrighted material in any part by any third party and was not submitted for another contest/program, and (iii) grants to Scholastic and the Designees the right to use the Winner's name, school name (if permitted by entrant's school district), information provided and likeness in any media now or hereafter known for advertising, promotion and/or other purposes throughout the world without additional compensation or notification to, or permission of the entrant, except as prohibited by law. At Scholastic's and/or Participating Product Sponsor's request, the Winner will make good faith efforts to secure the rights for Scholastic and/or the Participating Product Sponsor to use the Winner's school's name. The Winners will be required to sign and return an affidavit of eligibility and liability/publicity release within ten (10) business days of notification attempt or an alternative winner may be selected. By entering (except where prohibited by state law) and/or accepting a prize, all entrants agree to release Scholastic, its Participating Product Sponsor, and each of their respective parent companies, subsidiaries, affiliates, directors, officers and employees and their advertising, promotion or production agencies (collectively, the "Released Parties") from any and all liability, claims or actions of any kind whatsoever for injuries, damages or losses to persons and property which may be sustained in connection with the receipt, ownership or use of the prize, participation in the Contest, including use of an entry, subject to all applicable laws.

If Scholastic discovers at any time, during or after the Contest, that an Entry contained infringing material, the entrant who submitted the Entry will be immediately disqualified and will be obligated to immediately return any and all prizes which may have been awarded to them in connection with their Entry. Scholastic reserves the right to terminate the Contest if, in its sole determination, it does not receive enough qualified entries. Scholastic reserves the immediate right to disqualify any entrant who, in Scholastic's sole discretion: (i) is not in compliance with these Official Rules, (ii) tampers with the entry process, the Contest, or the mailbox; or (iii) is acting in an uncooperative, unsportsmanlike, disruptive, abusive, or threatening manner. Scholastic shall not be liable to a Winner or any other person for effects of any force majeure event, technical or equipment failure, or act/omission of any kind (whether legal or illegal), or any other cause similar or dissimilar beyond Scholastic's control.

The Released Parties are not responsible for technical, hardware, software or telecommunications malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the entrant, or for late, lost, stolen, inaccurate, garbled, damaged, illegible, undelivered, delayed, misdirected, or postage-due entries or mail or by any of the equipment or programming associated with or utilized in this Contest which may limit the ability to play or participate, or the announcement of the Winners, the processing of entries, or any Contest-related materials or by any human error which may occur in the processing of the entries in this Contest. If for any reason (including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Released Parties, which corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Contest) the online portion of the Contest is not capable of being conducted as described in these rules, Scholastic shall have the right, at its sole discretion, to cancel, terminate, modify or suspend the Contest. Proof of online submission is not considered proof of delivery or receipt.

At the time you send any Entry Form, in whole or in part, to Scholastic, and whether or not your Entry is selected as a winner, you irrevocably assign to Scholastic and Participating Product Sponsor all right, title and interest in and to your Entry Form, in whole and in part, and all the intellectual property rights therein, throughout the world in perpetuity, including, without limitation, any and all copyrights, trademarks, service marks, mask works and patents (collectively, the "Intellectual Property") and the registration, renewal, and derivative rights thereof and you waive all moral rights and rights of attribution relating thereto and agree to execute all documents and perform all acts deemed necessary by Scholastic and Participating Product Sponsor to apply for, register, perfect and record such transfer and assignment and/or waivers and protect Sponsor's right in such Intellectual Property. You further understand and agree that Scholastic and Participating Product Sponsor shall have the exclusive right to apply for or register any Intellectual Property and such other proprietary protections with respect thereto. Except as set forth below, you will not now nor in the future receive compensation for your Entry Form or for granting Scholastic and Participating Product Sponsor any of these rights. Scholastic and the Participating Product Sponsor, their affiliates, licensees, successors and assigns are in no way obligated to use or continue to use your Entry Form (and have no obligation to you or any other person or entity after your Entry Form is received). You agree to waive all claims to and shall receive no payment of any kind now or in the future from Scholastic and Participating Product Sponsor, their affiliates, licensees, successors and assigns for use of your Entry Form in any manner, and you represent, warrant and agree that no other party is entitled to claim payment from the use of the Entry Form as set forth in these Official Rules. The Official Rules of this Contest do not supersede any greater rights Scholastic and/or Participating Product Sponsor may have pursuant to any agreement entrant has with Scholastic and/or Participating Product Sponsor, and in such event, the agreement Scholastic and/or Participating Product Sponsor has with entrant shall prevail.

6. WINNERS LIST. The names of the Winners will be available after on or about January 4th, 2013, online at scholastic.com/digitalequation. You may request this name by sending a self-addressed, stamped envelope by January 11th, 2013 to: Digital Equation Contest Winners List, Scholastic Inc., 557 Broadway, 5th Floor, NY, NY 10012.
